Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of BlackOptic Seer and the blackoptic.ai website (collectively, the "Service"), operated by BlackOptic ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

BlackOptic Seer is an AI-powered business intelligence platform that enables users to ask questions in plain English, generate analytics, create dashboards, and connect to business data sources. The Service is provided as a cloud-hosted platform with guided onboarding. Private deployment options may be available upon request.

3. Accounts and Access

Access to BlackOptic Seer is provided through guided onboarding. Workspace accounts are provisioned by BlackOptic or your organization's administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

We may suspend or terminate access to accounts that violate these Terms, pose a security risk, or have been inactive for an extended period, with reasonable notice where possible.

4. Your Data

You retain all rights to the data you connect, upload, or create using the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service. We will not access, use, or share your Customer Data for any other purpose except as described in our Privacy Policy or with your explicit consent.

You are responsible for ensuring that you have the necessary rights and permissions to connect data sources and upload data to the Service. You must not upload data that you do not have the right to use or that violates applicable laws.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code, infringing content, or content that violates third-party rights
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use automated tools to scrape, crawl, or extract data from the Service beyond normal platform usage

6. AI-Generated Content

The Service uses AI to generate queries, charts, summaries, and recommendations based on your data and questions. AI-generated content is provided as an analytical aid and should not be treated as a substitute for professional judgment. We do not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated outputs. You are responsible for reviewing and validating results before making business decisions.

7. Plans and Payment

Plans are based on team size, data sources, and features. Pricing and plan details are discussed during guided onboarding. Payment terms, billing intervals, and seat counts are specified in your subscription agreement or order form. We may adjust pricing with reasonable notice for renewal periods.

If payment is overdue, we may suspend access to the Service after providing notice and a reasonable grace period. You remain responsible for all fees incurred during the subscription period.

8. Intellectual Property

The Service, including its software, design, documentation, and branding, is owned by BlackOptic and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein. Feedback or suggestions you provide may be used by us to improve the Service without obligation to you.

9. Service Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Support is provided during business hours unless your plan includes extended or dedicated support. Enterprise customers may have specific SLA terms in their subscription agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, BlackOptic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to your use of the Service. For any free, beta, trial, evaluation, demonstration, preview, or pre-release use of the Service, BlackOptic shall have no monetary liability arising out of or relating to such use. If liability for such use cannot be excluded under applicable law, BlackOptic's total aggregate liability shall not exceed USD $100. For paid use of the Service, BlackOptic's total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amounts you paid to us for the Service during the three (3) months immediately preceding the event giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times, or that AI-generated outputs will be accurate or complete.

12. Indemnification

You agree to indemnify and hold harmless BlackOptic, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate access to the Service in accordance with the subscription agreement. We may terminate or suspend your access immediately if you materially breach these Terms. Upon termination, your right to use the Service ceases. We will make your Customer Data available for export for a reasonable period (typically 30 days) following termination, after which it may be deleted.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date and, where appropriate, by email. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you should discontinue use of the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

16. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
